These Terms of Service (“Terms”) govern your access to and use of the Syncster website, mobile applications, and related services (collectively, the “Service”) operated by Syncster (“Syncster,” “we,” “our,” or “us”).

By creating an account or using the Service, you agree to these Terms. If you do not agree, do not use the Service.

1. About Syncster

Syncster is a software platform that allows users to:

Maintain a trading journal.
Track trading performance.
View statistics and analytics.
Follow other traders.
Share trading activity and content.
Connect supported brokerage accounts.
View manually shared trade ideas and activity.
Purchase subscriptions that unlock premium platform features.

Syncster is not a broker-dealer, investment adviser, commodity trading advisor, bank, exchange, or clearing firm.

2. Eligibility

You represent that you:

Are at least 18 years old.
Can legally enter into contracts.
Are not prohibited from using the Service.
Will comply with all applicable laws.

You may not use Syncster if prohibited by law.

3. Account Registration

You agree to:

Provide accurate information.
Keep your password secure.
Notify us of unauthorized access.
Keep your email current.

You are responsible for everything that occurs under your account.

4. Usernames

You may not use usernames that:

Impersonate another person.
Violate trademarks.
Are offensive.
Intentionally mislead users.

We may require username changes at any time.

5. Subscription Services

Certain features require a paid subscription.

Subscriptions may include:

Other premium functionality

Subscriptions renew automatically unless canceled.

Prices may change upon notice.

Taxes are your responsibility unless required otherwise.

6. Payments

Payments are processed through third-party payment providers.

We do not store your full payment card information.

Failure to pay may result in suspension or cancellation.

7. Refund Policy

Except where required by law:

Subscription fees are non-refundable.
Partial months are not prorated.
Canceling stops future renewals but does not refund previous charges.

8. Brokerage Connections

Syncster allows users to connect supported brokerage accounts.

By connecting an account you authorize Syncster to:

Import positions
Import executions
Import balances
Import historical trading information
Display trading activity

Syncster does not custody assets.

Syncster cannot move money.

Syncster cannot withdraw funds.

Syncster cannot execute trades on your behalf.

9. Manual Trade Copying

Syncster allows users to view trading activity shared by other users.

Every investment decision remains solely the responsibility of the user.

Syncster does not automatically execute trades.

Users must independently:

Review each opportunity.
Determine suitability.
Decide whether to trade.
Manually submit each order through their brokerage.

Syncster does not guarantee:

Timing
Pricing
Execution quality
Profitability
Similar investment results

10. No Investment Advice

Nothing within the Service constitutes:

Investment advice
Financial advice
Legal advice
Accounting advice
Tax advice

Nothing displayed on Syncster should be interpreted as:

A recommendation
A solicitation
A fiduciary relationship
Personalized investment advice

11. Trading Risks

Trading securities involves substantial risk.

Users acknowledge that they may lose:

Some invested capital
Most invested capital
All invested capital

Options trading involves additional risks including:

Leverage
Time decay
Volatility
Liquidity risks
Assignment risk
Expiration risk

12. User Content

Users may post:

Trade notes
Journals
Comments
Images
Performance statistics
Educational content

You retain ownership of your content.

You grant Syncster a worldwide, non-exclusive, royalty-free license to:

Host
Store
Display
Reproduce
Distribute
Improve
Promote

your content solely for operating and promoting the Service.

13. Performance Information

Performance displayed within Syncster may:

Be delayed
Be estimated
Contain errors
Change after reconciliation

Users should independently verify all trading information.

Syncster makes no guarantee regarding the accuracy or completeness of displayed performance.

14. Prohibited Conduct

You may not:

Break any law.
Manipulate markets.
Impersonate others.
Post false performance.
Falsify trading records.
Circumvent platform security.
Reverse engineer the Service.
Upload malware.
Spam users.
Harass others.
Abuse customer support.
Interfere with platform operation.

15. Fraud

Syncster may suspend or terminate accounts suspected of:

Fraud
Identity theft
Payment abuse
Performance manipulation
Market manipulation
Coordinated abuse

We may cooperate with law enforcement when legally required.

16. Intellectual Property

The Service, including:

Software
Logos
Branding
Graphics
Designs
Code
Databases

are owned by Syncster or its licensors.

No ownership rights are transferred through use of the Service.

17. Copyright Complaints

If you believe material infringes your copyright, you may submit a copyright notice containing:

Your contact information
Identification of the copyrighted work
Identification of the allegedly infringing material
A good-faith statement
A statement under penalty of perjury
Your signature

Syncster may remove allegedly infringing material while investigating.

18. Third-Party Services

Syncster may integrate with third-party services including:

Brokerage providers
Market data providers
Payment processors
Cloud hosting providers
Analytics providers

We are not responsible for third-party products or services.

Your use of those services is governed by their respective terms and privacy policies.

19. Availability

We do not guarantee uninterrupted operation.

The Service may experience:

Downtime
Maintenance
Data delays
Connectivity interruptions
Software defects

20. Disclaimer of Warranties

THE SERVICE IS PROVIDED “AS IS” AND “AS AVAILABLE.”

TO THE MAXIMUM EXTENT PERMITTED BY LAW, SYNCSTER DISCLAIMS ALL WARRANTIES, INCLUDING:

MERCHANTABILITY
FITNESS FOR A PARTICULAR PURPOSE
NON-INFRINGEMENT
ACCURACY
RELIABILITY
CONTINUOUS AVAILABILITY

WE DO NOT WARRANT THAT:

THE SERVICE WILL BE ERROR-FREE;
DATA WILL ALWAYS BE ACCURATE;
PROFITS WILL RESULT FROM USE OF THE SERVICE; OR
THE SERVICE WILL MEET EVERY USER’S REQUIREMENTS.

21. Limitation of Liability

TO THE MAXIMUM EXTENT PERMITTED BY LAW, SYNCSTER SHALL NOT BE LIABLE FOR ANY:

INDIRECT DAMAGES
INCIDENTAL DAMAGES
SPECIAL DAMAGES
CONSEQUENTIAL DAMAGES
PUNITIVE DAMAGES
LOST PROFITS
LOST INVESTMENT OPPORTUNITIES
LOST DATA
TRADING LOSSES

ARISING FROM OR RELATED TO:

USE OF THE SERVICE;
USER CONTENT;
THIRD-PARTY SERVICES;
BROKERAGE CONNECTIONS;
MARKET CONDITIONS; OR
PLATFORM DOWNTIME.

IN NO EVENT SHALL SYNCSTER’S TOTAL LIABILITY EXCEED THE GREATER OF:

(A) THE AMOUNT PAID BY YOU TO SYNCSTER DURING THE TWELVE (12) MONTHS PRECEDING THE CLAIM; OR

(B) ONE HUNDRED U.S. DOLLARS (US $100).

22. Indemnification

You agree to defend, indemnify, and hold harmless Syncster, its affiliates, officers, employees, contractors, and licensors from claims, liabilities, damages, losses, costs, and expenses (including reasonable attorneys’ fees) arising out of or related to:

Your use of the Service;
Your content;
Your violation of these Terms; or
Your violation of applicable law or the rights of another person.

23. Suspension and Termination

We may suspend or terminate your account immediately if you:

Violate these Terms;
Engage in fraudulent or abusive conduct;
Create legal or security risks for the Service; or
Use the Service in a manner that could harm other users or Syncster.

You may stop using the Service at any time.

Termination does not affect obligations that by their nature survive termination, including payment obligations, disclaimers, limitations of liability, and indemnification.

24. Governing Law

These Terms are governed by the laws of the State of Wyoming, without regard to its conflict of laws principles, except where applicable law requires otherwise.

25. Dispute Resolution

Before filing a lawsuit, you agree to contact Syncster and make a good-faith effort to resolve the dispute informally.

If the dispute cannot be resolved informally, it shall be resolved through binding arbitration administered by the American Arbitration Association, unless prohibited by applicable law. Each party waives the right to a jury trial and to participate in a class action or class arbitration to the fullest extent permitted by law.

Nothing in this section prevents either party from seeking temporary injunctive relief to protect intellectual property or confidential information.

26. Changes to These Terms

We may modify these Terms from time to time. Material changes will become effective after notice is provided through the Service or by other reasonable means. Continued use of the Service after the effective date constitutes acceptance of the revised Terms.

27. Severability

If any provision of these Terms is held to be invalid or unenforceable, the remaining provisions will remain in full force and effect.

28. Entire Agreement

These Terms, together with the Privacy Policy, the Risk Disclosure & Investment Disclaimer, and any additional policies incorporated by reference, constitute the entire agreement between you and Syncster regarding the Service and supersede prior agreements relating to the same subject matter.
